Live Nation has responded to a whistleblower lawsuit brought forth by a former executive, claiming that the ex-employee only came forward after the entertainment giant chose not to renew his contract.
The $35 million lawsuit was filed by former Live Nation Executive Vice President of Development and Business Practice Nicholas Rumanes in Los Angeles County Superior Court in April. Rumanes alleges the company fired him after he raised internal concerns about systemic financial misrepresentations, risky venue-development practices, and potential violations of the DOJ consent decree governing the Live Nation–Ticketmaster merger.
Specifically, the suit alleges three causes of action: retaliation under California Labor Code §1102.5, wrongful termination in violation of public policy, and fraudulent inducement.
Live Nation has since responded to the suit, noting in a statement to the Los Angeles Times that Rumanes never brought-up these allegations during his employment.
“His contract was not renewed after failing to meet expectations,” Live Nation said. “He did not raise these allegations during his employment, only doing so months after his departure, and an independent investigation found no evidence to support them. We will respond through the appropriate legal process.”
Additionally, the company argued that Rumanes “did not uncover fraud,” adding that his case “demonstrated what amounts to a basic misunderstanding of what [various financial documents and statements] are and how a public company uses them.”
According to the suit, Rumanes said he has three decades of experience in real estate development and previously held senior positions at publicly traded companies, and Live Nation recruited him in 2022 to build and professionalize a real estate development platform within its U.S. Concerts division. He said that while he was offered a senior leadership role — which was intended to give investors and partners confidence that Live Nation’s pipeline was being overseen with strong internal controls and discipline, he was instead subjected to a “bait and switch.”
The suit notes that his authority was limited and was placed under the direction of Jordan Zachary, Live Nation’s Co‑President of U.S. Concerts and Global President of Venue Nation. In this position, he alleges that he encountered financial practices that were misleading, inconsistent, and potentially unlawful.
Despite Live Nation’s assertion that he did not bring forward allegations of misconduct, he claims he repeatedly warned senior leadership that nearly all Live Nation projects he reviewed were materially over budget and that polished investment decks would not withstand serious due diligence if their underlying assumptions were examined. When Rumanes raised concerns in early 2023, the complaint alleges Zachary dismissed budget and cost‑control issues as “not my problem.”
Rumanes alleges he was terminated in May 2025 without warning, despite what he describes as strong performance reviews, bonuses, and a recent raise. Live Nation initially told him his role was no longer needed, but the explanation later shifted to termination for cause, despite no prior notice of performance issues.
The suit seeks over $35 million in damages, as well as punitive damages and attorneys’ fees. While Live Nation seeks to dismiss the suit, it arrives at a time where Live Nation is being heavily scrutinized — and was found guilty in an antitrust lawsuit for illegally monopolizing the ticketing market.
